1. Grant of License

Upon purchase, Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to use the purchased digital media files (“Footage”) for the permitted uses defined below.

No ownership rights are transferred. All rights not expressly granted remain with Licensor.

2. License Types

Licensee must select and purchase the appropriate license tier based on intended usage.

2.1 Standard Royalty-Free License

Permitted Use:
– Web video
– Social media content
– YouTube, Facebook, Instagram, TikTok
– News, blogs, online articles
– Educational use
– Corporate presentations
– Documentary use (non-distributed)
– Unlimited projects
– Unlimited web impressions

Restrictions:
– No broadcast TV
– No OTT streaming services
– No theatrical films
– No paid national advertising
– No resale or redistribution of raw footage
– No use implying endorsement by people or properties appearing incidentally

2.2 Extended Commercial License

Includes all Standard rights plus:
– Television broadcast (local/regional)
– Film festival submission
– Streaming platform distribution (non-national)
– Paid advertising (local/regional)
– Internal corporate use
– In-app use

Restrictions:
– No national broadcast advertising
– No inclusion in resale products (stock libraries, templates, comps)

2.3 Unlimited Rights License

Includes all Standard + Extended rights plus:
– National and global advertising
– Streaming platform distribution
– National TV broadcast
– Feature films
– Documentaries
– Unlimited seat licenses
– Unlimited client projects

Restrictions:
– Cannot resell or sub-license the raw footage itself
– Cannot mint as NFT or similar for resale

3. Prohibited Uses

Licensee may not:
– Resell, redistribute, or share the raw file
– Claim authorship or ownership of the original footage
– Use the footage in a defamatory, pornographic, deceptive, or unlawful manner
– Use the footage to imply endorsement by any business, brand, person, or property

4. Releases

Unless explicitly stated, no property releases or model releases are provided.

Licensee is solely responsible for determining whether their intended use requires additional permissions when recognizable people, branding, logos, or private property are the primary subject.

5. Intellectual Property

All footage is copyrighted by Licensor.
Unauthorized use may result in legal action.

6. Indemnification

Licensee agrees to indemnify and hold harmless Licensor from any claims arising from Licensee’s use of the Footage.

7. Refund Policy

Because digital files cannot be returned, all sales are final.

8. Governing Law

This Agreement is governed by the laws of the State of Texas.

These Terms of Use govern access to and use of the digital media marketplace on this website (“Site”).

1. Digital Product Delivery

Upon purchase, Licensee will receive a download link or access to the digital file.
The file may not be shared, stored in shared drives, or redistributed.

2. Digital Storage

Licensor may host files on Wix, AWS, or external CDNs.
Availability is guaranteed for 7 days after purchase.
Licensee is responsible for safeguarding downloaded files.

3. Commercial Use Requirements

If Licensee intends to use the footage commercially (ads, TV, films, campaigns), Licensee must purchase the appropriate license tier.

4. No Unauthorized Distribution

The following uses are strictly prohibited:
– Uploading raw footage to YouTube as stock
– Selling or giving away the file
– Placing file in template packs
– Inclusion in stock libraries
– Using file as training data for AI models

5. Compliance with Law

Licensee is responsible for ensuring their use complies with:
– FAA regulations (for drone footage reuse)
– Copyright laws
– Privacy and publicity laws
– Trademark restrictions
– Local filming regulations

6. Website Use Restrictions

Licensee may not:
– Scrape content
– Attempt to access source files without purchase
– Circumvent download restrictions
– Reverse engineer watermark previews

LICENSE NOTICE
No property or model releases are included unless explicitly stated. Footage may contain buildings, storefronts, logos, or individuals captured incidentally from public rights-of-way or FAA-authorized airspace. Buyer is fully responsible for verifying clearance for advertising, commercial, or promotional use.

USAGE RESTRICTIONS
Footage cannot be resold, posted as stock, redistributed, or included in template packs. Only the licensed end-project use is permitted.
